Martin de Jong

Martin regularly counsels corporate attorneys, operating companies, investment funds, institutional buyers and sellers, and individuals regarding the tax rules that apply, and tax issues that arise, in the context of complex transactions.  He has particular expertise with mergers and acquisitions and has worked on hundreds of such transactions.  He often advises on heavily structured transactions, including those with deferred consideration, equity rollovers, and qualified small business stock implications.  He also works on ongoing tax planning matters, including for companies that have novel products and business models.

Martin began his career with Skadden, Arps, Slate, Meagher & Flom LLP in Palo Alto, California, and thereafter worked with a prominent boutique law firm.  This combination of experience enables him to provide a client with "Biglaw" experience while understanding the importance of listening to that client's specific needs and providing efficient service.

Martin graduated summa cum laude and Order of the Coif from Duke University School of Law, where he was an Editorial Board Member of the Duke Law Journal and was awarded the Faculty Award in Taxation.  When he's not parsing apart the ever-changing tax rules on behalf of clients, you can usually find him alongside his wife chasing (or being chased by) his three young sons in Menlo Park, California. ​​​​​​​
