Chase Manderino

Chase focuses on private company tax structuring on both sell and buy side transactions.  He assists clients with the A-Z of transactions — A and F reorgs, with a fair share of C and some B and D corporate reorganizations, together with partnership rollovers, and 351 planning. Although mergers and acquisitions make up a large part of his practice, Chase also assists companies and individuals with ongoing tax needs. These needs include qualified small business stock (conversions, redemptions, secondaries, 1045 rollovers, and related items), recapitalization, choice of entity, equity compensation, rollover, net operating loss, credit, and other planning.

Chase worked closely with growth companies early in his career, from incorporation, to seed and later financing, and also in connection with exits, assisting companies and also private equity and other fund clients.  These companies included both LLCs and and corporations, but with a focus on LLCs taxed on partnerships together with the profits interests, allocations, rollovers, elections, and other particularities that come with them.  His time advising emerging companies on Silicon Slopes, funds, and real estate developers, and his experience at a tax boutique, has positioned Chase to help private companies and individuals in a focused manner.

Chase graduated from law school summa cum laude while also getting his Master of Accounting degree with high distinction.  Chase is a Certified Public Accountant, licensed in Virginia, and clerked at the U.S. Tax Court in Washington D.C. before entering private practice.   Although tax makes up a large part of his life, Chase will take up the challenge of running a marathon, get up often to the Wasatch Range where he lives, and jump in a pool to swim laps.  He spends time serving in his church and relishes the opportunity to connect with others.  His amazing four kids and wife Lisa enjoy life with him, especially when his family is traveling or eating together . . . and not talking tax.
